Newbridge can provide this type of function using its product line.  
Although it'd differ from what I read from your post, that it all be 
done out of a single device. We'd have to use a few.

The Newbridge solution would involve using a 36170 ATM switch, which 
supports T-1/T-3 and OC-3/OC-12 interfaces, and a VIVID starter kit 
which would provide local area routed TCP/IP over Ethernet, Fast 
Ethernet and ATM using MPOA. The interface between the VIVID and 36170 
would be ATM, and the VIVID starter kit involves deploying at least 
three devices (ATM switch, Route Server and Ridge (MPOA edge device)).

As for TCP/IP QOS, the Ethernet and Fast Ethernet interfaces would be 
layer-3 switched, but without explicit QOS, since nothing shipping 
right now maps QOS to connectionless Ethernet. Shortly, as RSVP gets 
released, RSVP requests will be mapped into VIVID's ATM QOS circuits 
and queues.

The MainStreet 36170 supports both service interworking and network 
interworking; you could do it either way.
